SPECIAL MEETING OF JUNE 22, 2009

Pursuant to Article III of the By-laws of the Association, and the reasonable assurance of a quorum, a Special Meeting of the Trustees of the Swan Library Association was called for Monday June 22nd at 5 PM in the meeting room of the Library, 4 North Main Street in the Village of Albion by President Kevin Doherty. 

The principal purpose of this meeting will be to review a proposed Purchase offer for property to be used for construction of a new Library building, authorizing its transmission to the potential Seller; and confirm coincident actions taken and to be taken by the Board to effectively pursue construction.

President Kevin Doherty called the meeting to order at 5:04pm. 

The board members reviewed the proposed purchase offer prepared by Woods, Oviatt for the purchase of the Pilon property.  Inclusion of language for no penalty for pre-payment of the loan and a confirmation of the definition for the closing documentation needed was requested.

With satisfactory changes in the purchase offer:
Motion to accept the Purchase Offer contract to be forwarded to the attorney for the Pilon property by the board President was made by Mary Anne Braunbach, seconded by Linda Smith.  Unanimously approved   Yes-11 (Kevin Doherty, Pat Cammarata, Lynne Philipps, Linda Krantz-Smith, Mariadele Theodorakos, Terry-Lynn Corrigan, Judy Christopher, Dona Scharping, Mary Anne Braunbach, Colleen McKenna, Carole Patterson)   No-0

Motion to re-confirm that the plan identified by the Advisory Committee with the assistance of Ivy Partners that the Swan Library build a 12,000 to 14,000 square foot, single story building, with a total cost of less than $3.1 million, financed in rough thirds by a capital campaign, current Library assets and grants; and a commercial long term mortgage; and that the Swan Library maintain the title to the existing Burrow’s mansion facility to allow for the orderly transition of Library operations, the purposeful cataloging of materials now in storage; and to allow both storage and programming space was made by Mary Anne, seconded by Terry-Lynn.
